Terms of Service

These Terms of Service ("Terms") govern access to and use of the AI-assisted care documentation and workflow platform operated by CKAutoFlow ("CKAutoFlow", "we", "us", or "our") (the "Service"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an aged care facility or other organization ("Facility"), you represent that you have authority to bind that Facility to these Terms.
1. The Service
The Service helps Facilities document care visits by transcribing voice recordings, extracting structured care notes with AI, flagging potential care concerns, and communicating summaries to residents' families. Optional features allow a Facility to monitor an email inbox for receipts/invoices.
The Service is a documentation and workflow tool. It is not a medical device, does not diagnose, treat, or provide medical advice, and must not be relied upon in place of clinical judgment, professional medical care, or a Facility's own emergency response procedures. AI-generated content (transcripts, structured notes, and alerts) may contain errors and should be reviewed by qualified staff before being relied upon.
2. Accounts
A Facility's Administrators are responsible for creating and managing Caregiver accounts (via invite codes) and for the accuracy of information entered into the Service. Facilities are responsible for keeping login credentials confidential and for all activity under their accounts. Facilities must obtain any consents required from residents and their families before recording, processing, or sharing information about them through the Service.
3. Acceptable Use
You agree not to: use the Service for any unlawful purpose; upload content you do not have the right to use or share; attempt to gain unauthorized access to the Service or other accounts; interfere with or disrupt the Service; or use the Service to make clinical or emergency decisions without independent professional judgment.
4. Fees
If a Facility's use of the Service is subject to fees, those fees and payment terms are set out in a separate order form or agreement between the Facility and CKAutoFlow. These Terms alone do not create a payment obligation.
5. Intellectual Property
CKAutoFlow retains all rights, title, and interest in and to the Service, including its software, design, and underlying technology. As between the parties, a Facility retains ownership of the care data, recordings, and other content it or its staff submit to the Service ("Facility Data"). Facility grants CKAutoFlow a limited license to use Facility Data solely to provide and improve the Service, consistent with our Privacy Policy.
6. Third-Party Services
The Service relies on third-party providers (including those listed in our Privacy Policy) to function. We are not responsible for the availability or performance of third-party services outside our control.
7. Termination
Either party may stop using or providing the Service at any time. Upon termination, CKAutoFlow will make reasonable efforts to allow a Facility to export its Facility Data for a reasonable period, after which the data may be deleted in accordance with our data retention practices.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or complete.
9. Limitation of Liability
To the maximum extent permitted by law, CKAutoFlow will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising out of or related to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Indemnification
A Facility agrees to indemnify and hold CKAutoFlow harmless from claims arising out of the Facility's misuse of the Service, its failure to obtain required consents, or its violation of these Terms.
11. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date above, and where changes are material, we will provide notice to Facility Administrators. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law and Disputes
These Terms are governed by the laws applicable in the jurisdiction where the Facility is located, without regard to conflict-of-laws principles, unless otherwise agreed in a separate written agreement between the Facility and CKAutoFlow. The parties will attempt to resolve any dispute informally before pursuing formal proceedings.
